These terms of service (“Terms”) are an agreement between you and SimplePOS (“we”, “us”) about your use of this website and the SimplePOS point-of-sale software and related services (the “Service”). By creating an account or using the Service you accept these Terms. If you use the Service for a business, you confirm that you may accept these Terms on its behalf; “you” then means that business.
1. The Service
The Service is cloud software for selling, stock, customers, suppliers, expenses, accounts and reports, used in a web browser. Features depend on your plan and the modules switched on for your account. We may improve, change or add features over time. If we remove a feature that is a major part of your paid plan, we will tell you in advance.
2. Your account
- Give accurate information and keep it up to date.
- Keep passwords and PINs safe and do not share accounts. You are responsible for what happens under your account and for the staff users you create and the permissions you give them.
- Tell us straight away at support@simplepos.business if you think someone has accessed your account without permission.
- You must be at least 18 years old (or the age of majority where you live) to open an account.
3. Free trial
New accounts usually start with a free trial (14 days unless stated otherwise). No payment card is needed for the trial. At the end of the trial you can choose a paid plan; if you don’t, the account may become read-only or locked until you subscribe, and your data is kept as described in our Privacy policy.
4. Plans, payment and taxes
- Paid plans are billed in advance, monthly or yearly, at the prices shown when you subscribe or on your invoice. Prices are in the currency shown and exclude taxes unless stated; you pay any taxes that apply.
- If a payment is late, we may remind you, then limit the account (for example to read-only) after any grace period shown in your account, and finally suspend it.
- We may change prices for future billing periods. We will tell you at least 30 days before a price increase takes effect; you can cancel before then.
- Refunds are covered by our Refund policy.
5. Your data
You own the business data you put into the Service (“Your Data”). You give us permission to host, copy, process and display Your Data only as needed to provide, secure, support and improve the Service. You are responsible for having the right to enter Your Data, including your customers’ personal data, and for meeting the laws that apply to your business (for example consumer, tax, data-protection and marketing laws when you send messages to customers). You can export Your Data at any time while your account is active and for a limited period after it ends.
6. Acceptable use
You must not:
- use the Service for anything illegal, fraudulent or harmful, or to sell goods or services that are illegal where you operate;
- send spam or messages without the consent the law requires;
- try to break into, overload, scan or disrupt the Service, other accounts or our systems, or get round usage limits, licensing or security;
- copy, resell, rent or reverse-engineer the Service, except where the law allows it or we agree in writing;
- upload malware or content that infringes others’ rights.
We may suspend accounts that break these rules, after a warning where reasonable.
7. Tax, payment and other integrations
The Service can connect to third-party services such as tax-authority e-invoicing systems, payment providers, SMS and WhatsApp providers or email. You choose whether to use them, and their own terms apply. You remain responsible for your tax filings and for checking that invoices and reports meet the rules where you operate; the Service is a tool and does not give tax, legal or accounting advice (see our Disclaimer).
8. Availability and support
We work to keep the Service available around the clock, but it may sometimes be unavailable because of maintenance, updates, internet problems or events outside our control. Some functions can keep working on a till while it is offline and sync later. We provide support through the channels shown on our Contact page and in the app.
9. Our intellectual property
The Service, its software, design and content belong to SimplePOS or our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. Partners may use their own branding on the Service under separate agreements with us.
10. Cancellation and ending
- You can cancel at any time; your plan stays active until the end of the period you paid for and does not renew.
- We may end or suspend the Service for you if you seriously or repeatedly break these Terms, do not pay, or if the law requires it. Where possible we will give notice and a chance to export Your Data.
- After an account ends, we keep and then delete Your Data as described in our Privacy policy.
11. Warranty disclaimer
Apart from what we expressly promise in these Terms, the Service is provided “as is” and “as available”. To the extent the law allows, we do not give other warranties, such as that the Service will be error-free or uninterrupted or fit a particular purpose. Keep your own records where the law requires them.
12. Limitation of liability
To the extent the law allows: (a) we are not liable for indirect or consequential losses, or for loss of profits, revenue, goodwill or data that could have been avoided with reasonable backups or exports; and (b) our total liability for all claims in any 12-month period is limited to the amount you paid us for the Service in those 12 months. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence, or your rights as a consumer where consumer law applies.
13. Indemnity
You will compensate us for reasonable losses and costs arising from claims by third parties caused by Your Data or by your use of the Service in breach of these Terms or the law.
14. Changes to these Terms
We may update these Terms. We will show the new date at the top and, for important changes, tell account holders at least 30 days in advance. If you keep using the Service after the change takes effect, the new Terms apply; if you do not agree, you can cancel.
15. Governing law and disputes
These Terms are governed by the laws of the country where SimplePOS is registered, and its courts have jurisdiction, unless the consumer law of the country where you live gives you the right to use its law and courts. Before going to court, please contact us so we can try to solve the problem together.
